7.3. Late Payments

Late payments may be subject to interest charges as specified in the applicable Service Agreement. We reserve the right to suspend or terminate services for overdue payments.

8. Confidentiality

8.1. Definition

“Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or that, under the circumstances, should reasonably be understood to be confidential.

8.2. Obligations

Both parties agree to protect the confidentiality of the other party’s Confidential Information and to use it only for the purpose of performing their obligations under these Terms and any applicable Service Agreement.

9. Intellectual Property

9.1. Ownership

All intellectual property rights in the services and any materials provided by us, including but not limited to software, documentation, and designs, remain our property or the property of our licensors.

9.2. License

We grant you a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes and in accordance with these Terms and any applicable Service Agreement.

10. Warranties and Disclaimers

10.1. Warranties

We warrant that we will provide our services in a professional and workmanlike manner and in accordance with generally recognized industry standards.

10.2. Disclaimers

Except as expressly provided herein, our services are provided “as is” and “as available” without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use our services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; or (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign these Terms or any of your rights or obligations hereunder, without our prior written consent. We may assign these Terms at any time without notice to you.
